GLOBAL IP AND CONSULTING FZ LLE maintains the GlobalIPCo.com Website and its subsidiary websites branded GlobalIPCo ("Site"). Please note that the website www.PayAnnuity.com is subject to its own Terms and Conditions and that www.PayAnnuity.com is not included in the definition of Site.

The following are the terms of use that govern use of the Site ("Terms of Use"). By using the Site you expressly agree to be bound by these Terms of Use and the Site's privacy policy and to follow these Terms of Use and all applicable laws and regulations governing use of the Site. GLOBAL IP AND CONSULTING FZ LLE reserves the right to change these Terms of Use at any time, effective immediately upon posting on the Site. Please check this page of the Site periodically. We will note when there are updates to the Terms of Use at the bottom of the Terms of Use. If you violate these Terms of Use, GLOBAL IP AND CONSULTING FZ LLE may terminate your use of the Site, bar you from future use of the Site, and/or take appropriate legal action against you.

LIMITED LICENSE:

You are granted a limited, non-exclusive, revocable and non-transferable license to utilize and access the Site pursuant to the requirements and restrictions of these Terms of Use. GLOBAL IP AND CONSULTING FZ LLE may change, suspend, or discontinue any aspect of the Site at any time. GLOBAL IP AND CONSULTING FZ LLE may also, without notice or liability, impose limits on certain features and services or restrict your access to all or portions of the Site. You shall have no rights to the proprietary software and related documentation, if any, provided to you in order to access the Site. Except as provided in the Terms of Use, you shall have no right to directly or indirectly, own, use, loan, sell, rent, lease, license, sublicense, assign, copy, translate, modify, adapt, improve, or create any new or derivative works from, or display, distribute, perform, or in any way exploit the Site, or any of its contents (including software) in whole or in part.

SITE OPERATION:

United Arab Emirates is our Country of Domicile, and the governing law is the U.A.E. law. GLOBAL IP AND CONSULTING FZ LLE controls this Site from the U.A.E. GLOBAL IP AND CONSULTING FZ LLE makes no representation that this Site is appropriate for use in other locations. If you use this Site from other locations you are responsible for ensuring compliance with local laws. You may not use, export or re-export any materials from this Site in violation of any applicable laws or regulations, including, but not limited to any U.A.E export laws and regulations.

APPLICABLE LAW:

The Laws of the United Arab Emirates shall govern the use of the Site and the Terms of Use, without regards to conflict of laws principals. All disputes arising in connection therewith shall be heard only by a court of competent jurisdiction in the U.A.E.

MULTI-CURRENCY PRICED TRANSACTION:

The displayed price and currency, will be the same price and currency charged to the Card and printed on the Transaction Receipt.

PURCHASES:

GLOBAL IP AND CONSULTING FZ LLE accepts payment by Visa or Mastercard debit and credit cards in USD for its products and services. All online purchases are also governed by the terms and conditions of respective merchant service providers. Please review respective merchant service provider's user agreement and privacy policy before entering any transaction.

INTERPRETATION:

These Terms of Use supersede all other written and oral communications or agreements with regard to the subject matters discussed in these Terms of Use. A waiver or modification of these Terms of Use will only be effective if made in writing signed by an authorized officer of GLOBAL IP AND CONSULTING FZ LLE. All refunds will be made onto the original mode of payment.

PATENT, UTILITY MODEL, DESIGN AND TRADEMARK FILINGS:

GLOBAL IP AND CONSULTING FZ LLE or its agents may in their sole discretion refuse to file a patent, utility model, design or trademark application. Without limiting the generality of the aforegoing, examples of instances where filings may be refused include: reputation risk to GLOBAL IP AND CONSULTING FZ LLE or its agents; conflict of interest; conflicting contractual obligations (whether in writing or verbal); risk of OFAC contravention; suspicion of money laundering, real or perceived fraud or abuse of rights; real or perceived risk of acts or a filing being considered to be an abuse of laws or systems; insufficient or incorrect information or documents being provided for the filing; insufficient time (to be determined in GLOBAL IP AND CONSULTING FZ LLE's or its agent's sole discretion) or cooperation by you to effect the filing; and late or insufficient payment by you. Where a filing is refused, GLOBAL IP AND CONSULTING FZ LLE or its agent will use reasonable efforts to communicate such refusal to you. GLOBALIP AND CONSULTING FZ LLE or its agents will not be liable for any damages that may be suffered by you consequent to such refusal to file a patent, utility model, design or trademark application.

Where refusal by GLOBAL IP AND CONSULTING FZ LLE or its agents to file a patent, utility model, design or trademark application is not due to your: fault; negligence; delay or failure in making payment, performing an act or providing information; short-payment; action; or inaction, GLOBAL IP AND CONSULTING FZ LLE will refund you any amounts paid by you (less corresponding costs incurred by GLOBAL IP AND CONSULTING FZ LLE or its agents, e.g. payment processing costs, fees and disbursements). In all other instances, only official fees that have not been incurred by GLOBAL IP AND CONSULTING FZ LLE or its agents (less corresponding payment processing costs) will be refunded to you.

European regional phase patent applications will only be processed after full payment of the corresponding official fees have reflected in GLOBAL IP AND CONSULTING FZ LLE's EPO Deposit Account. Should:

full payment not reflect more than three business days (Monday to Friday) before the filing deadline; or
you fail to provide clear instructions to file the European regional phase patent application more than three business days (Monday to Friday) before the filing deadline,

GLOBAL IP AND CONSULTING FZ LLE or its agents have no obligation to file the application with the European Patent Office. Despite late payment or late instructions, GLOBAL IP AND CONSULTING FZ LLE or its agents may, in exceptional cases and in their sole discretion, continue to file a European regional phase patent application with the European Patent Office, but failure to do so will not expose GLOBAL IP AND CONSULTING FZ LLE or its agents to any damages claims. GLOBAL IP AND CONSULTING FZ LLE or its agents recommend that you make alternative and backup arrangement to file European regional phase patent applications where there is a risk that: payment may reflect late in GLOBAL IP AND CONSULTING FZ LLE's EPO Deposit Account; or clear instructions to file the application may be provided late.

You acknowledge that refunds from EPO Deposit Accounts are difficult, take time and may only be paid to the account holder. As such, any refund of official fees due to you by GLOBAL IP AND CONSULTING FZ LLE may take time, in some instances more than a month. The selected agent is never responsible to refund amounts paid by you into GLOBAL IP & CONSULTING FZ LLE's EPO Deposit Account.

In respect of European regional phase patent applications:

Where a selected agent is exposed to a real or perceived conflict of interest (whether at the time of filing the application or thereafter), you will be required to select another agent of GLOBAL IP AND CONSULTING FZ LLE to file and prosecute the application. The agents will cooperate with each other to migrate the application to the new agent at a reasonable cost.
You may be required by the selected agent to accept that agent's separate terms and conditions and to complete that agent's Know Your Client documentation before that agent performs any further acts relating to prosecution of your European regional phase patent application.
You acknowledge that, although GLOBAL IP AND CONSULTING FZ LLE checks application data, you remain primarily responsible to ensure that the information provided on the Site is correct and complete. When checking your application details, GLOBAL IP AND CONSULTING FZ LLE relies on information that is publicly available on the WIPO website. You further acknowledge that the WIPO website may be out of date or contain incorrect information. You hold GLOBAL IP AND CONSULTING FZ LLE and the selected agent harmless against reliance on such incorrect, incomplete or out of date information on the WIPO website. Furthermore, you acknowledge that neither GLOBAL IP AND CONSULTING FZ LLE nor its agents check that necessary notifications, acts or deposits have been made in respect of sequence listings or microbiological deposits and that compliance with such requirements remains your sole responsibility. Should: any such information be incorrect or incomplete; additional documents or information need to be submitted to the European Patent Office after filing; a correction or amendment of the application or forms be required after filing; or sequence listing or microbiological deposit requirements not have been complied with, remedial action may be required, which remedial action will be the responsibility of the selected agent and may incur additional European Patent Office fees and agent's fees.
You acknowledge that neither GLOBAL IP & CONSULTING FZ LLE nor its agents review the European regional phase patent application specification for conformity with European patent law and practice, neither does GLOBAL IP & CONSULTING FZ LLE or its agents review the accuracy of any translations of patent specifications. Should your European regional phase patent application not comply with European patent law and practice, remedial action may need to be taken by the selected agent, which action may incur additional European Patent Office fees and agent's fees.
You acknowledge that neither GLOBAL IP & CONSULTING FZ LLE nor its agents review the corresponding PCT patent application to confirm that such PCT patent application complies with PCT rules and practice (including, without limitation, documentary evidence of a proper chain of ownership and signature of required declarations). Should your PCT patent application be defective in any way, remedial action may need to be taken by the selected agent, which action may incur additional European Patent Office fees and agent's fees.
Where the selected agent is not in breach of any obligation towards you and you elect to migrate prosecution of your European regional phase patent application to another agent or attorney, the selected agent may levy a charge equivalent to any discount you received on filing the European regional phase patent application, which charge is payable by you before the selected agent is required to facilitate migration of your application to another agent or patent attorney. Furthermore, such migration may affect your continuing use of the Site and discounts offered by GLOBAL IP AND CONSULTING FZ LLE or the Site.
GLOBAL IP AND CONSULTING FZ LLE is not responsible for post-filing actions and reminders. These responsibilities are to be assumed between you and the selected agent independently of GLOBAL IP AND CONSULTING FZ LLE. In clarification of the aforegoing, although you may voluntarily add patents to the PAYANNUITY.COM site, GLOBAL IP AND CONSULTING FZ LLE is not responsible for: complying with European Patent Office post deadlines; prosecution of your European regional phase patent application to grant; validation or extension of your corresponding European regional phase patent; or renewal of your European regional phase patent application, validations or extensions.
The European regional phase patent application filed through the Site should mirror the claims on file at WIPO. Any amendment to or correction of the application or claims must be made post filing by the selected agent, which amendment or correction will incur additional European Patent Office fees and agent's fees.
Where the priority date of the corresponding PCT patent application is more than 12 months prior to the PCT international filing date, it is your responsibility to engage the selected agent to ensure that proper priority of your European regional phase patent application has been claimed. Such engagement may require remedial action to be taken by the agent, which action may incur additional European Patent Office fees and agent's fees.
The European Patent Office may require additional documents to be lodged (for example, without limitation, copies of priority documents, assignments, translations, clearer copies of documents, corrected documents, editable versions of documents etc.). Any such lodgement of documents with the European Patent Office is the responsibility of the selected agent and may incur additional European Patent Office fees and agent's fees.
You acknowledge that the European Patent Office may from time to time change is official fees and costs. Should: such change affect your European regional phase patent application or the associated costs that GLOBAL IP & CONSULTING FZ LLE or our agents are exposed to; and such impact not be reflected in our corresponding charge to you (i.e. not defrayed by an amount already received from you), GLOBAL IP & CONSULTING FZ LLE and its agents may cease performing any actions in respect of your European regional phase patent application (including, without limitation, filing the application) until at least three business days (Monday to Friday) after the full corresponding top-up payment made by you reflects in GLOBAL IP & CONSULTING FZ LLE's EPO Deposit Account. Neither GLOBAL IP & CONSULTING FZ LLE nor its agents will be liable for any damages resulting from such cessation of actions.
No European regional phase patent application filings will be delayed upon your request where full payment has been received by both GLOBAL IP AND CONSULTING FZ LLE and by GLOBAL IP AND CONSULTING FZ LLE's EPO Deposit Account.
You acknowledge that the Site provides an automated system for filing European regional phase patent applications, and that neither GLOBAL IP AND CONSULTING FZ LLE not the Site can tailor their systems, reports or communications to cater for user-specific / custom requirements.
You acknowledge that the Site does not cater for special characters. Should a special character be used when applying for a European regional phase patent application, the special character may become corrupted, substituted or deleted upon filing the application. In such instances, to correct the corruption, substitution or deletion, the selected agent may be required to take remedial action, which action may incur additional European Patent Office fees and agent's fees.

OFFICE OF FOREIGN ASSETS CONTROL (OFAC) SANCTIONED COUNTRIES:

GLOBAL IP AND CONSULTING FZ LLE will not trade with or provide any services to individuals and companies owned or controlled by, or acting for or on behalf of, OFAC targeted countries or sanctioned countries AND individuals, groups, and entities, such as terrorists and narcotics traffickers designated under the OFAC programs that are not country specific.

REPRESENTATIONS BY YOU:

By visiting the Site, you represent, warrant and covenant that (a) you are at least 18 years old; (b) that all materials of any kind submitted by you to GLOBAL IP AND CONSULTING FZ LLE through the Site or for inclusion on the Site will not plagiarize, violate or infringe upon the rights of any third-party including trade secret, copyright, trademark, trade dress, privacy, patent, or other personal or proprietary rights. Any person using the website who is a Minor / under the age of 18 shall not register as a User of the website and shall not transact on or use the Site.

PERMITTED USE:

You agree that you are only authorized to visit, view and to retain a copy of pages of this Site for your own personal use, that you shall not duplicate, download, publish, modify or otherwise distribute the material on this Site for any purpose other than for personal use, unless otherwise specifically authorized by GLOBAL IP AND CONSULTING FZ LLE to do so. The Site may automatically produce search results that reference and/or link to third party sites throughout the World Wide Web. GLOBAL IP AND CONSULTING FZ LLE has no control over these sites or the content within them. GLOBAL IP AND CONSULTING FZ LLE does not guarantee, represent or warrant that the content contained in the sites is accurate, legal and/or inoffensive. GLOBAL IP AND CONSULTING FZ LLE does not endorse the content of any third party site, nor does it make any representation or warranty about these sites, including that they will not contain viruses or otherwise impact your computer. WITHOUT DEROGATING FROM THE GENERALITY OF THE AFOREGOING: GLOBAL IP AND CONSULTING FZ LLE WILL ENDEAVOUR TO IMPORT PATENT INFORMATION FROM PUBLICLY AVAILABLE DATABASES AND SEND YOU PATENT, UTILITY MODEL, DESIGN AND TRADEMARK FILING; PATENT , UTILITY MODEL, DESIGN AND TRADEMARK COMPLETION; PATENT, UTILITY MODEL, DESIGN AND TRADEMARK PROSECUTION AND PATENT, UTILITY MODEL, DESIGN AND TRADEMARK RENEWAL REMINDERS BY EMAIL. HOWEVER, YOU ACCEPT THAT IT IS YOUR RESPONSIBILITY TO ENSURE THAT THE INFORMATION IN YOUR PATENT, UTILITY MODEL, DESIGN AND TRADEMARK FORMS AND APPLICATIONS IS CORRECT. IN THIS REGARD, YOU ACKNOWLEDGE THAT GLOBAL IP AND CONSULTING FZ LLE IMPORTS INFORMATION FROM WIPO, CIPC AND ESPACENET DATABASES AND THAT THE WIPO, CIPC AND ESPACENET RECORDS MAY CONTAIN ERRORS OR NOT BE UP TO DATE. YOU ALSO ACCEPT THAT TELECOMMUNICATION AND OTHER TECHNICAL ISSUES MAY RESULT IN YOU NOT RECEIVING PATENT, UTILITY MODEL, TRADEMARK AND DESIGN APPLICATION NUMBERS (COLLECTIVELY REFERRED TO AS "APPLICATIONS") OR RENEWAL RELATED REMINDERS TIMEOUSLY. AS SUCH, YOU ACKNOWLEDGE THAT NEITHER GLOBAL IP AND CONSULTING FZ LLE NOR ANY AGENT OF GLOBAL IP AND CONSULTING FZ LLE WILL BE HELD LIABLE FOR ANY DAMAGES THAT MAY ARISE FROM INCORRECT DATA IN YOUR APPLICATIONS OR IN YOUR RENEWAL RECORDS OR FAILURE TO REMIND YOU OF UPCOMING APPLICATION ACTIONS OR DEADLINES, OR RENEWAL DEADLINES.

VIOLATION OF TERMS OF USE:

You understand and agree that in GLOBAL IP AND CONSULTING FZ LLE's sole discretion, and without prior notice, GLOBAL IP AND CONSULTING FZ LLE may terminate your access to the Site, or exercise any other remedy available and remove any unauthorized user information, if GLOBAL IP AND CONSULTING FZ LLE believes that the information you provide has violated or is inconsistent with these Terms of Use, or violates the rights of GLOBAL IP AND CONSULTING FZ LLE or any third party, or violates the law. You agree that monetary damages may not provide a sufficient remedy to GLOBAL IP AND CONSULTING FZ LLE for violations of these Terms of Use and you consent to injunctive or other equitable relief for such violations. GLOBAL IP AND CONSULTING FZ LLE may release user information about you if required by law or subpoena.

INDEMNITY:

You agree to indemnify and hold GLOBAL IP AND CONSULTING FZ LLE, its subsidiaries, affiliates, officers, agents and other partners and employees, harmless from any loss, liability, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of or relating to your use of the Site, including also your use of the Site to provide a link to another site or to upload content or other information to the Site, or your breach of the Terms of Use.

WARRANTY REGARDING OWNERSHIP:

By providing materials to GLOBAL IP AND CONSULTING FZ LLE, including by submitting or uploading content or materials for use on the Site you represent and warrant that you are the owner of all rights to such content or materials.

ADVERTISING:

The Site may contain advertisements and/or sponsorships. The advertisers and/or sponsors that provide these advertisements and sponsorships are solely responsible for ensuring that the materials submitted for inclusion on the Site are accurate and comply with all applicable laws. GLOBAL IP AND CONSULTING FZ LLE is not responsible for the acts or omissions of any advertiser or sponsor.

SEVERABILITY:

If any provision of the Terms of Use is held to be invalid, void or unenforceable, the remaining provisions shall nevertheless continue in full force and effect.

Headings & section titles in this Agreement are for convenience and do not define, limit, or extend any provision of this Agreement.
